Please read these Terms of Service carefully before subscribing to our Services. By clicking "Subscribe," "I Accept," or "Continue," or by using our Services, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not subscribe to or use our Services.

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement ("Agreement") between Ezune, LLC, a Delaware Limited Liability Company ("Provider," "we," "us," or "our"), and you or the entity you represent ("Customer," "you," or "your"). These Terms govern your subscription to and use of our Services. Provider and you are sometimes referred to herein individually as a "Party" and collectively as the "Parties."

2. Definitions

"Acceptable Use Policy" or "AUP" means Provider's policy located at https://ezunedb.com/acceptable-use-policy, as updated from time to time, which is incorporated into and made part of these Terms by this reference.
"Authorized User" means your employees, consultants, contractors, and agents who are authorized by you to access and use the Services and for whom access has been requested.
"Customer Data" means information, data, and other content that you or your Authorized Users submit, post, or transmit through our Services.
"Downloadable Software" means downloadable client tools or other software, that Provider makes available for authorized local installation solely to facilitate Customer's access to the Services. Downloadable Software does not include third‑party products.
"Enterprise-Tier" or "Enterprise Subscription Plan" means a paid subscription to the Services purchased under an Enterprise Subscription Agreement that specifies the applicable subscription fees, support and maintenance obligations, uptime service level commitments, warranty, indemnity, and any advanced or premium features.
"Free-Tier" or "Free Subscription Plan" means a no charge, non exclusive right for a Customer to access and use the Service in accordance with these Terms.
"Force Majeure Event" means any cause beyond a Party's reasonable control, including acts of God, natural disasters, war, terrorism, government actions, internet or telecommunications failures, third-party service disruptions, AI model unavailability, cloud service provider outages, regulatory changes affecting AI services, or government restrictions on AI technology access.
"Intellectual Property" means all intellectual property rights worldwide, including patents, copyrights, trademarks, trade secrets, and moral rights.
"High-Risk Use" means any use of the Services or Output in (a) safety‑critical, medical‑device, transportation‑control, or infrastructure‑control systems; (b) employment, hiring, credit, lending, insurance, housing, or other eligibility decisions about individuals; (c) legal advice or the practice of law; or (d) any other context where erroneous or biased Output could cause death, bodily injury, or significant economic or legal harm.
"Output" means any data, content, or material (including text, images, audio-visual works, software code, analytical results, or models) that our Services generate in response to your Prompts or other inputs.
"Privacy Policy" means the Provider's privacy policy located at https://ezunedb.com/privacy-policy as updated from time to time, as incorporated by reference.
"Prompt" means any instruction, query, parameter, or input that you submit to our Services to generate Output. Prompts are considered Customer Data.
"Provider IP" means the Downloadable Software, the SaaS Documentation, and any and all Intellectual Property provided to Customer or any Authorized User in connection with the Terms. For the avoidance of doubt, Provider IP does not include Customer Data.
"SaaS Documentation" means Provider's user manuals, handbooks, and guides, as updated from time to time, relating to the Services available at https://ezunedb.com/docs.
"Services" means our software-as-a-service platform and any related Downloadable Software, SaaS Documentation as described on our website.
"Subscription Term" means the period beginning on the date Customer accepts these Terms (or the effective date in an order) and continuing month-to-month until terminated as provided herein.

3. Free-Tier license

FREE SERVICE ACKNOWLEDGEMENT: Customer acknowledges that the Free-Tier Services are provided without charge and, accordingly, Customer assumes all risks associated with their use. Customer waives any claims for damages, losses, or harm arising from the use of Free-Tier Services to the maximum extent permitted by applicable law.

3.1 Grant

Subject to these Terms, Provider grants Customer a revocable, non‑transferable, non‑sublicensable, internal‑use‑only license during the Subscription Term to:

  • Have Customer and its Authorized Users access and use the Services for their internal business purposes;
  • Download and install any Downloadable Software we provide solely to access the Services.

3.2 Usage Caps

Free Tier access is subject to usage caps, quotas, or other technical limits that Provider may establish from time to time (collectively, the "Free-Tier Usage Caps"). The current Free-Tier Usage Caps are posted at https://ezunedb.com/docs and take effect immediately upon posting unless a later effective date is stated. The Provider may revise the Free-Tier Usage Caps at its discretion. If your use of the Services exceeds any Free-Tier Usage Cap, the Provider may automatically throttle, suspend, or otherwise restrict your access until (a) the start of the next calendar-month cycle, or (b) you upgrade to an Enterprise Subscription Plan. Repeated or egregious overages may result in termination of the Free-Tier account.

3.3 Limitations

Access to the Services is provided "AS IS" with no service level commitment, support obligation, warranty, or indemnity. THE FREE-TIER SERVICES ARE PROVIDED ON AN EXPERIMENTAL BASIS AND MAY CONTAIN ERRORS, BUGS, OR INCOMPLETE FEATURES.

3.4 Use Restrictions

You agree not to:

  • Copy, modify, reverse engineer, or create derivative works of our Services;
  • Remove proprietary notices from our Services;
  • Use our Services for illegal activities or in violation of third-party rights;
  • Exceed your Free-Tier Usage Caps or share access credentials;
  • Publish, disclose, or otherwise disseminate performance, availability, or accuracy benchmarks of the Services for competitive purposes or to disparage our Services, provided that you may share benchmarks for legitimate academic research or internal evaluation purposes;
  • Mine, scrape, or access the Services or Output in order to create, train, or improve competing services;
  • Circumvent or disable any limit, access‑control, or security mechanism of the Services;
  • Use our Services in any manner that violates our Acceptable Use Policy;
  • Attempt to gain unauthorized access to our Services, other user accounts, or connected networks.

Any use of the Services in a High-Risk Use context is prohibited unless Customer first obtains Provider's written consent and implements robust human review and validation.

3.5 Account Suspension

We may suspend your access if:

  • You breach these Terms or the AUP;
  • Your use poses security or legal risks;
  • We receive legal process requiring suspension; or
  • Technical issues require maintenance.

4. AI-Powered Services

4.1 Output Disclaimer

Outputs are automatically generated by large‑language‑model techniques that may produce inaccurate, incomplete, biased, or infringing content. PROVIDER MAKES NO WARRANTY THAT OUTPUTS ARE ACCURATE, COMPLETE, LEGAL, OR SAFE FOR ANY PURPOSE. YOU USE ALL OUTPUTS AT YOUR OWN RISK and must perform independent verification, particularly in any High-Risk Use context. Outputs do not constitute legal, medical, financial, or other professional advice.

4.2 Content Restrictions

You may not use our Services to generate content that:

  • Violates applicable laws;
  • Infringes third-party rights;
  • Is defamatory, harassing, or harmful;
  • Involves minors inappropriately;
  • Promotes violence, terrorism, or illegal activities;
  • Contains malicious code or attempts to compromise security.

4.3 Data Usage Rights

You retain ownership of your Customer Data, including Prompts. You grant us a limited license to host and process Customer Data solely to provide the Services. We may use aggregated, anonymized usage patterns and technical data (but not your identifiable Customer Data) to improve our Services.

5. Data Security and Privacy

5.1 Data Security

We implement industry-standard security measures to protect your Customer Data, including encryption in transit and at rest, access controls, and regular security assessments. However, no security system is completely secure, and you use our Services at your own risk. WE HAVE NO OBLIGATION TO MAINTAIN, BACKUP, OR PRESERVE YOUR CUSTOMER DATA. DATA LOSS MAY OCCUR WITHOUT WARNING OR RECOURSE.

5.2 Privacy and Personal Data

We process minimal personal data, limited to:

  • Authentication credentials for service access
  • Business contact information for account administration

We do not access, review, or use your Customer Data for any purpose other than providing the Services. Your Customer Data, Prompts, and Outputs are not used to train our AI models.

5.3 Data Location

Our primary data processing occurs in the United States. By using our Services, you consent to this data processing location.

Your Prompts may be processed by third-party AI services located globally. By using our Services, you consent to such international data transfers as necessary for AI processing, subject to appropriate safeguards. We cannot guarantee specific geographic processing locations for all AI processing.

5.4 Data‑Processing Addendum

If Customer is subject to the EU GDPR, UK GDPR, Swiss FADP, California CPRA, or analogous legislation, the Parties shall execute Provider's Data‑Processing Addendum ("DPA"), available at https://ezunedb.com/docs. Upon execution, the DPA is incorporated by reference and will prevail over these Terms to the extent of any conflict.

5.5 Security Incidents

We will notify you of confirmed security incidents affecting your Customer Data within seventy-two (72) hours after we become aware of such incidents, or as otherwise required by applicable law. Our notice will include:

  • Description of the incident and affected data types;
  • Measures taken to address the incident;
  • Recommended actions for you to take;
  • Contact information for further inquiries.

6. Intellectual Property

6.1 Our Rights

We own all rights in our Services, including Downloadable Software, SaaS Documentation, improvements, and underlying technology. This includes our source code, algorithms, models, and proprietary methodologies.

6.2 Your Rights

You retain ownership of your Customer Data. You grant us only the limited rights necessary to provide the Services as described in Section 4.3.

6.3 Feedback

If Customer or its Authorized Users provide comments, suggestions, or other feedback regarding the Services ("Feedback"), Customer grants Provider a non-exclusive, perpetual, irrevocable, royalty-free license to use, copy, disclose, and exploit such Feedback for any purpose without attribution or payment. This license is granted in consideration of your use of our Services and our commitment to continuous improvement.

7. Warranties and Disclaimers

7.1 DISCLAIMERS

EXCEPT AS PROHIBITED BY APPLICABLE LAW, OUR SERVICES ARE PROVIDED "AS IS." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE MAKE NO WARRANTIES REGARDING:

  • THE ACCURACY OR RELIABILITY OF AI-GENERATED OUTPUTS;
  • UNINTERRUPTED OR ERROR-FREE OPERATION;
  • COMPATIBILITY WITH YOUR SYSTEMS;
  • COMPLIANCE OF OUTPUTS WITH APPLICABLE LAWS.
  • SERVICE AVAILABILITY, UPTIME, OR CONTINUITY. THE SERVICES MAY BE UNAVAILABLE, INTERRUPTED, OR DISCONTINUED AT ANY TIME WITHOUT NOTICE.

Consumer Rights: If you are a consumer, you may have additional rights under applicable consumer protection laws that cannot be waived or limited.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW AND EXCEPT AS PROHIBITED BY APPLICABLE CONSUMER PROTECTION LAWS:

WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including lost profits, data loss, or business interruption, regardless of the legal theory and even if we were advised of the possibility of such damages.

To the fullest extent permitted by applicable law, the total aggregate liability of Provider, and its affiliates, directors, officers, employees, agents, and licensors, arising out of or in connection with these Terms or the Services—whether in contract, tort (including negligence), strict liability, or otherwise— arising from or in connection with these Terms shall not exceed $50.

Nothing in this Section limits or excludes liability for (i) death or personal injury, (ii) fraud or fraudulent misrepresentation, (iii) willful misconduct, or (iv) any liability that cannot be excluded or limited under applicable law.

AI-SPECIFIC LIMITATIONS

We have NO liability for:

  • Decisions made based on AI recommendations;
  • Business losses from AI-generated content;
  • Regulatory violations arising from AI Output use;
  • Bias, discrimination, or harm from AI content.

Consumer Exception: If you are a consumer, these limitations may not apply to the extent prohibited by applicable consumer protection laws.

9. Indemnification

You'll defend us against claims arising from:

  • Your Customer Data or use of our Services;
  • Your violation of these Terms or applicable law;
  • Your combination of our Services with unauthorized third-party products;
  • Your violation of third-party rights through the use of Outputs.

10. Term and Termination

10.1 Subscription Term

The Subscription Term has the meaning given in the Definitions section.

10.2 Cancellation

You may cancel your subscription anytime through your account settings or by emailing support@ezunedb.com.

10.3 Termination for Cause

We may terminate your subscription immediately if you materially breach these Terms or the Acceptable Use Policy.

10.4 Termination for Convenience

Provider may terminate the Agreement for any reason with 15 days' e-mail notice.

10.5 Effect of Termination

Upon termination:

  • Your access to our Services ends immediately;
  • We may delete your data after providing a reasonable opportunity for export;
  • Sections covering intellectual property, disclaimers, limitations of liability, and general provisions survive.

11. Dispute Resolution

11.1 Informal Resolution

Before filing any formal claim, you agree to contact us at legal@ezunedb.com to seek informal resolution. We will work in good faith to resolve disputes within sixty (60) days.

11.2 Class Action Waiver

YOU AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS AND YOU WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS OR REPRESENTATIVE PROCEEDINGS.

12. General Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy and any executed DPA, constitute the complete agreement between us regarding our Services.

12.2 Changes to Terms

Provider may revise these Terms from time to time. Continued use of the Services after the effective date constitutes acceptance of the revised Terms.

Your Rights: If you object to changes, you may: (a) cancel your subscription, or (b) for material adverse changes, request account closure within thirty (30) days of notice.

12.3 Governing Law

These Terms are governed by New York law without regard to conflict of law principles. Any disputes will be resolved in New York state or federal courts, and you consent to jurisdiction there.

12.4 Assignment

We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets. You may not assign these Terms without our written consent.

12.5 Severability

If any provision is unenforceable, the remainder of these Terms remains in effect.

12.6 Force Majeure

Neither party is liable for delays or failures due to Force Majeure Events. The affected party will promptly notify the other party and use reasonable efforts to mitigate the impact.

12.7 Export Compliance

Customer shall not access or use the Services or Outputs in violation of U.S. export control or sanctions laws and represents that it is not named on any U.S. government restricted party list.

12.9 Subscription Plans and Pricing

The Provider's current subscription plans and pricing are available at https://ezunedb.com/docs (as updated from time to time).

If you require any warranty coverage, technical support, maintenance services, uptime service level commitments, or access to the premium features offered under the Enterprise Subscription Plan, please contact us at enterprise-sales@ezunedb.com to request an Enterprise Subscription Agreement; absent such written agreement, your use of the Service remains limited to the Free Tier on the "AS IS" basis described above.
